Business-to-business terms | Version 6 October 2026
IMPORTANT: The mobile handset or other Hardware is rented during the Minimum Term. Legal title transfers to the Customer only at the end of the Minimum Term, and only when all sums due have been paid in full and no termination or default has occurred. SIM Cards remain Cranberry's or the relevant network operator's property and never transfer to the Customer.
ANNUAL SIM TARIFF PRICE ADJUSTMENT: The monthly rental for each SIM connection will increase by £2.00 per month on 1 April each year, unless a different monetary increase is stated on the Order Form. Where the Order Form states a different increase, that amount will apply and take priority. The increase applies separately to each active SIM connection supplied on the O2, Vodafone, EE and Three networks.
UNLIMITED TARIFFS - FAIR USAGE: Tariffs described as including unlimited UK minutes, texts or data are subject to fair usage limits. Unless the Order Form or applicable Network Operator policy states otherwise, the monthly fair usage allowance for each SIM is 3,000 UK minutes, 3,000 UK texts and 650GB of UK data. For new connections, use exceeding 650GB in a month on two or more occasions in any rolling six-month period may be treated as a breach. The connection may be flagged and the Customer may be required to reduce or change its usage profile or move to a more suitable tariff. Continued or unremedied breach may result in restriction, suspension or termination of the affected connection by Cranberry or the Network Operator, subject to applicable law and notice requirements.
1. The Agreement and order of precedence
1.1 These conditions, the signed Order Form and any expressly incorporated service schedule form the Agreement between Cranberry Communications Ltd (Cranberry, We, Us or Our) and the business customer identified on the Order Form (Customer, You or Your).
1.2 The Agreement is for business use only. If there is a conflict, the Order Form takes priority, followed by any service schedule, then these conditions. Your purchase order or other terms do not apply unless We expressly accept them in writing.
1.3 No variation is effective unless agreed in writing by authorised representatives of both parties, except for a change permitted by clause 8 or required by law, regulation or the network operator.
2. Definitions
2.1 Commencement Date: the date the relevant SIM Service is activated or the Hardware is delivered, whichever occurs first, unless the Order Form states otherwise.
2.2 Hardware: each mobile phone, tablet, router, accessory or other device identified as rented on the Order Form, including any replacement.
2.3 Minimum Term: the minimum contractual period stated on the Order Form for the relevant Hardware and/or SIM Service.
2.4 Network Operator: the mobile network operator or wholesale provider used to supply the SIM Service.
2.5 Order Form: the Customer Order Form signed or otherwise accepted by the parties.
2.6 SIM Card: a physical SIM, eSIM profile or replacement supplied for use with the SIM Service.
2.7 SIM Service: the mobile voice, messaging, data, roaming and related services identified on the Order Form.
2.8 Transfer Date: the day after the Minimum Term expires, provided clause 5.8 is satisfied.
3. Supply, activation and acceptance
3.1 We will use reasonable care and skill to supply the Hardware and arrange the SIM Service substantially in accordance with the Order Form. Coverage, speed, capacity and service availability depend on the Network Operator, location, buildings, compatible equipment, network demand and other factors outside Our control.
3.2 Delivery, activation and porting dates are estimates unless expressly stated to be fixed. You must provide accurate porting information, access, approvals and cooperation. We are not responsible for delay caused by You, a former provider, a Network Operator or circumstances beyond Our reasonable control.
3.3 You must inspect the Hardware promptly and notify Us in writing of visible damage, shortage or incorrect items within five Business Days after delivery. This does not remove rights that cannot lawfully be excluded.
4. Minimum Term and continuation
4.1 Each Hardware rental and SIM Service starts on its Commencement Date and continues for its Minimum Term. If no Minimum Term is stated, the Minimum Term is 36 months.
4.2 After the Minimum Term, a SIM Service continues on a monthly basis unless the Order Form states a renewal period. Either party may then terminate it on 30 days written notice, subject to any mandatory regulatory right and any porting process.
4.3 Expiry or termination of one SIM Service does not automatically terminate any other line, Hardware rental or service shown on the Order Form.
5. Hardware rental, risk and transfer of title
5.1 Cranberry owns the Hardware throughout the Minimum Term. You receive possession and a limited right to use it for Your business in accordance with the Agreement. You must not sell, charge, pledge, sublet, dispose of, permanently alter, remove identifying marks from, or otherwise deal with the Hardware as owner before title transfers.
5.2 Risk of loss, theft, accidental damage and destruction passes to You on delivery and remains with You until title transfers or the Hardware is returned and accepted by Us. You must keep the Hardware secure, in good condition (fair wear and tear excepted), and used in accordance with manufacturer instructions.
5.3 You must maintain adequate insurance for the full replacement value of the Hardware during the rental period and provide reasonable evidence on request. Insurance does not reduce Your payment obligations.
5.4 You must notify Us immediately if Hardware is lost, stolen, seized, damaged, destroyed, beyond economic repair or otherwise unusable. Your obligation to pay the agreed Hardware rental charges continues in full for the remainder of the Minimum Term. Loss, theft, damage, failure or inability to use the Hardware does not reduce, suspend or terminate Your payment obligations. You must also pay any reasonable assessment, recovery or repair charge and, where the Hardware is not recovered or cannot be economically repaired, the replacement value stated on the Order Form or, if none is stated, Our reasonable cost of an equivalent replacement, less a fair allowance for age and condition.
5.5 You must not remove network or device-management controls, circumvent security, unlock the Hardware without approval, or install software in a way that creates a material security or service risk. We may require reasonable access for diagnostics, updates, repair, replacement and recovery.
5.6 Cranberry does not provide a repair, replacement, insurance or equipment-protection service unless expressly stated on the Order Form. Our responsibility is limited to facilitating an applicable manufacturer's warranty claim. We will only arrange a repair or replacement where the manufacturer has examined or assessed the Hardware, accepted that the fault is covered by its warranty, and confirmed that repair or replacement is the manufacturer's responsibility. Any repair or replacement is subject to the manufacturer's warranty terms, process and decision. Cranberry is not responsible for carrying out or funding the repair or replacement.
5.7 If the manufacturer rejects a warranty claim or determines that the issue is not its responsibility, including because of accidental or liquid damage, misuse, neglect, loss, theft, cosmetic damage, unauthorised repair, battery degradation, excessive wear or user-caused damage, You remain liable for all Hardware rental charges for the remainder of the Minimum Term. If You require another handset or other Hardware, We may offer it under a separate Order Form, new hardware rental agreement, new Minimum Term and additional charges. The original Hardware rental and payment obligations continue and are not replaced, merged or extinguished by the new agreement.
5.8 Title to the Hardware transfers automatically on the Transfer Date only if: (a) the Minimum Term has expired normally; (b) You have paid every amount due under the Agreement; (c) the Agreement has not been terminated early for any reason; and (d) the Hardware has not been replaced following loss, theft or total damage unless We confirm the replacement is included. Transfer is without any additional payment unless the Order Form states a nominal transfer payment.
5.9 Title does not transfer merely because rental payments equal or exceed the original cost of the Hardware, or because the SIM Service ends. If the Agreement ends early, clause 11 applies and the Hardware must be returned unless We agree a written early-purchase amount.
5.10 After title transfers, the Hardware is supplied in its then-existing condition. Any unexpired manufacturer warranty that is transferable will be passed to You where reasonably possible. Ongoing support, repair and replacement are not included unless separately ordered.
6. SIM Cards, numbers and authorised use
6.1 Each SIM Card remains the property of Cranberry or the Network Operator at all times. The SIM Card is licensed for use only with the SIM Service and title never passes to You, including when title to Hardware transfers.
6.2 You are responsible for all use and charges incurred through a SIM Card until You report loss, theft, compromise or unauthorised use to Us and the Network Operator has had a reasonable opportunity to suspend it. You must maintain suitable PINs, passwords, device locks and internal authority controls.
6.3 Telephone numbers are made available for use with the SIM Service but are not owned by You. Subject to law and Network Operator processes, You may request porting. We may change or withdraw a number where required by a regulator or Network Operator, or where the Agreement permits suspension or termination.
6.4 You must not use the SIM Service unlawfully, fraudulently, abusively, to cause nuisance, for artificial traffic generation, permanent roaming contrary to the tariff, or in breach of an applicable acceptable-use or fair-use policy. You are responsible for Your users and must not resell the SIM Service without Our written agreement.
6.5 Tariffs described as unlimited remain subject to fair usage. Unless the Order Form or applicable Network Operator policy states otherwise, each SIM is limited to 3,000 UK minutes and 3,000 UK texts per month. For new connections on an unlimited-data tariff, use exceeding 650GB in a month on two or more occasions in any rolling six-month period may be treated as a breach. We or the Network Operator may flag the connection and require You to reduce or change the usage profile or move to a more suitable tariff. If the breach continues or is not remedied within any period specified in the notice, the affected connection may be restricted, suspended or terminated, subject to applicable law and Network Operator requirements.
6.6 Roaming, international, premium-rate, out-of-bundle and excess-usage charges are payable in addition to recurring charges. Usage records supplied by the Network Operator are evidence of usage unless there is a manifest error.
7. Customer responsibilities
7.1 You must provide accurate information, nominate authorised contacts, keep account and user details current, obtain all necessary user permissions, and promptly follow reasonable security, fraud-prevention, recall and network instructions.
7.2 You are responsible for backing up data stored on Hardware. Repair, replacement, security action or remote management may erase data. Before returning Hardware or transferring it to another user, You must remove personal and confidential data where reasonably possible.
7.3 You must comply with applicable law, licence conditions and Network Operator terms notified to You. If Your breach causes Us a direct third-party charge, regulatory penalty or reasonable recovery cost, You must reimburse that amount to the extent caused by Your breach, subject to clause 13.
8. Charges, billing and price changes
8.1 You must pay the charges on the Order Form, usage and out-of-bundle charges, VAT and any other properly incurred amount. Recurring charges are billed in advance and usage charges may be billed in arrears. Payment is by Direct Debit unless We agree otherwise.
8.2 If an invoice is disputed, You must notify Us promptly with reasons and pay the undisputed amount. We will investigate in good faith. A dispute does not permit cancellation of a Direct Debit for undisputed charges.
8.3 We may pass through a new or increased tax, regulatory levy, roaming wholesale charge or Network Operator charge that directly affects the SIM Service, but only to the extent reasonably attributable to that change and after giving any notice required by law.
8.4 The monthly rental for each SIM connection will increase by £2.00 per month on 1 April each year, unless a different monetary increase is stated on the Order Form. Any different increase stated on the Order Form will apply instead and will take priority. The increase applies separately to each active SIM connection supplied on the O2, Vodafone, EE and Three networks. Any mandatory right to information, notice or penalty-free exit continues to apply.
8.5 Overdue sums may bear interest and fixed compensation in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 where applicable, or otherwise at 4% per year above the Bank of England base rate, calculated daily. We may recover reasonable debt-recovery costs.
9. Support, faults and Network Operator dependency
9.1 Our standard support hours are Monday to Friday, 8:00am to 5:00pm, excluding English bank holidays. We will use reasonable endeavours to investigate faults and coordinate with the Network Operator or manufacturer.
9.2 The SIM Service is not guaranteed to be uninterrupted or error-free. Planned maintenance, emergency work, radio conditions, coverage limitations, congestion and third-party networks may affect service. Service levels or credits apply only if expressly stated in the Order Form or a service schedule.
9.3 Where a fault is caused by Your equipment, configuration, acts or omissions, or where no fault is found, We may charge reasonable diagnostic, collection, delivery, engineer and replacement costs after explaining the basis of the charge.
10. Suspension
10.1 We may suspend some or all SIM Services where reasonably necessary to protect security or the network, prevent fraud or unlawful use, comply with law or a Network Operator instruction, address an emergency, or respond to a material breach or overdue undisputed payment.
10.2 Except in an emergency or where prohibited, We will give reasonable notice and a reasonable opportunity to remedy the issue. Suspension does not end the Agreement or remove charges that continue to be incurred, but We will restore service promptly when the reason for suspension has been resolved.
11. Termination and consequences
11.1 Either party may terminate an affected service immediately by written notice if the other commits a material breach that is not remedied within 14 days after written notice, or immediately if the breach cannot be remedied. Either party may also terminate on insolvency events permitted by law.
11.2 If You terminate during the Minimum Term without a contractual or mandatory right to do so, or We terminate because of Your material breach, You must pay: (a) charges accrued to termination; (b) the remaining Hardware rental charges; (c) the remaining recurring SIM Service charges, less costs We reasonably save by early termination; (d) unbilled usage and third-party charges; and (e) reasonable recovery or return costs. We will provide a reasonable calculation and will not recover the same loss twice.
11.3 If You terminate because of Our unremedied material breach, You owe charges properly incurred up to termination but no future recurring charges for the affected service. Hardware must still be returned unless We agree otherwise in writing.
11.4 Where title has not transferred, You must return the Hardware, accessories and supplied packaging to the address We specify within 14 days, securely packaged and at Your risk and cost. If You do not return it, We may charge its replacement value less a fair allowance for age and condition and may take lawful steps to recover it.
11.5 On termination We may deactivate SIM Cards and assist with number porting where requested and permitted. You remain responsible for charges arising before deactivation or completion of the port.
12. Data protection and confidentiality
12.1 Each party will comply with applicable data protection law. Each party normally acts as an independent controller for business contact, billing, fraud-prevention and account-administration data. If Cranberry processes personal data solely on Your documented instructions, the parties will enter into any processor terms required by law.
12.2 We may share necessary information with Network Operators, manufacturers, distributors, support partners, credit-reference and fraud-prevention providers, professional advisers and authorities where lawful and necessary to provide and protect the services or comply with legal obligations.
12.3 Each party must keep the other party's confidential information secure and use it only for the Agreement, except where disclosure is required by law or to personnel and advisers who need to know and are bound by confidentiality.
13. Liability
13.1 Nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited.
13.2 Neither party is liable for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, business, goodwill or data, except that this does not exclude amounts expressly payable under the Agreement, reasonable data-restoration costs caused by a party's breach, or Your liability for unauthorised use and loss of or damage to Hardware.
13.3 Subject to clause 13.1, each party's total aggregate liability arising in any contract year is limited to the greater of £10,000 and 100% of the charges paid or payable for the affected services in that contract year. This cap does not limit Your obligation to pay charges, early termination amounts, replacement costs for Hardware, or liabilities under clause 7.3.
13.4 We are not liable for a Network Operator outage, coverage limitation, porting delay, third-party service failure or other matter outside Our reasonable control, except to the extent We failed to exercise reasonable care and skill in selecting, instructing or managing the relevant supplier.
13.5 Each party must take reasonable steps to reduce and mitigate loss and notify the other promptly of a claim.
14. Events beyond reasonable control
14.1 Neither party is liable for delay or failure caused by an event beyond its reasonable control, including power or internet failure, severe weather, fire, flood, epidemic, industrial dispute, cyberattack by a third party, failure of a communications network, governmental action or shortage of components. Payment obligations for services already supplied are not excused.
14.2 The affected party must notify the other where practicable and use reasonable endeavours to reduce the impact. If a material service is unavailable for more than 30 consecutive days due to such an event, either party may terminate that affected service without future recurring charges, but Hardware must be returned unless title has already transferred.
15. General
15.1 Neither party may assign the Agreement without the other's written consent, not to be unreasonably withheld or delayed. Cranberry may assign to an affiliate, funder or purchaser of the relevant business on written notice, provided this does not materially reduce Your rights. We may use subcontractors and remain responsible for their performance.
15.2 Notices must be in writing and delivered by hand, prepaid post or email to the address stated on the Order Form or later notified. A termination notice must clearly identify the account and services concerned.
15.3 If any provision is invalid or unenforceable, it will be treated as modified to the minimum extent necessary and the remaining provisions continue. Delay in enforcing a right is not a waiver.
15.4 The Agreement is the entire agreement and supersedes prior discussions relating to its subject matter. Neither party relies on a statement not recorded in the Agreement, but nothing limits liability for fraud or fraudulent misrepresentation.
15.5 A person who is not a party has no right to enforce the Agreement under the Contracts (Rights of Third Parties) Act 1999.
15.6 The Agreement is governed by English law and the courts of England and Wales have exclusive jurisdiction.
